For supervisory boards

Include changes in the CEO in your oversight.

You review the company’s financial and operational results. With Cognitive Due Diligence, we also focus on the person whose decisions materially influence those results, and on changes in their decision-making behaviour.

01

The core idea

Consider the person behind the decisions over time

The focus is on whether the CEO’s reward valuation, willingness to exert effort, risk weighting or creative problem-solving changes relative to their own starting point.

Our engagement model starts with two initial assessments to establish the individual baseline. Annual and event-triggered reassessments continue the comparison. We actively involve the CEO and agree the purpose and reporting arrangements in advance.

Board report

Stable. Review. Material Change.

Your supervisory board receives only the status report agreed in advance. Professional assessment and an independent second review form the two review stages of our procedure.

01

Stable

Stability relative to the individual baseline.

02

Review

Further assessment is needed to interpret an observed difference.

03

Material Change

A relevant change relative to the baseline under defined criteria.

03

Confidentiality

Medical assessment and board reporting remain separate

The CEO receives a personal medical interpretation. Funding the engagement does not give the supervisory board access to detailed medical findings.

We agree the status report, its recipients and the process for further assessment together before the engagement begins.

Next step

Responsible oversight starts with the right questions.

Discuss the process, the CEO’s participation and the clearly defined information available to your board.
